Acceptance of the Terms of Use 

Welcome to the IFC UNHCR Joint Initiative website which is operated and managed by UNHCR on behalf of itself and IFC ("we" or "us"). The following terms and conditions, together with any documents expressly referred to within (collectively, "Terms of Use"), explain how you may access and use this site and/or any related site (such as a related mobile application) that links to this site, including any content, functionality and services offered on or through the site(s) (the "Site"), whether as a guest or a registered user. 

Please read these Terms of Use carefully before you start to use the Site. By using the Site or otherwise indicating your consent, you accept and agree to be bound by and comply with these Terms of Use and the Privacy Policy, attached, and the Copyright Statement, found at https://www.unhcr.org/contact-us/copyright. If you do not agree to these Terms of Use, the Privacy Policy and/or Copyright Statement, you must not access or use the Site. 

Changes to the Terms of Use 

We may revise and update these Terms of Use from time to time. Our revised Terms of Use will be posted on the Site and your continued use of the Site following such changes means that you accept and agree to the changes. You are expected to check this page from time to time so you are aware of any changes, as they are binding on you. 

Information About You and Your Visits to the Site 

Your privacy and personal information are important to us. You agree that all information you may provide to register with this Site or otherwise and all information we collect on this Site is subject to the Privacy Policy. By using the Site, you consent to all actions we take with respect to your information consistent with our Privacy Policy. 

Access to and Use of Content of the Site 

In general, the Site is available to those who may choose to access the Site (“Users”). In some cases, access to resources the Site may offer may require you to provide certain registration details or other information. It is a condition of your use of the Site that all the information you provide on the Site is correct, current and complete. You acknowledge you use the Site at your own initiative and are responsible for compliance with local laws where they apply.

The information included on the Site including documents, photographs, video or audio materials (collectively, “Content”) is selected on the basis of the Joint Initiative’s own criteria and in its sole discretion and is made available for information purposes only. It may include Content developed by IFC, UNHCR or third parties (“External Sources”). All Content on the Site is made available by IFC and UNHCR solely for personal, non-commercial use without any right to resell or redistribute the Content or to modify, create derivative works of, publicly display, publicly perform, republish, download, store or transmit any of the Content. Extracts of the Content may be reviewed, reproduced, or translated for research or private study but not for sale or for use in conjunction with commercial purposes. Any use of the Content from the Site shall be accompanied by an acknowledgment of the source, citing the uniform resource locator (URL) of the text. 

Any use of the Content other than for personal or educational purposes, including reproduction or translation of substantial portions of the Content requires the express prior written permission of the Joint Initiative and, if applicable the relevant External Sources who own Content in question. All Content on the Site is protected by law including, as applicable, copyright laws. IFC, UNHCR and External Sources reserve the right to seek all remedies available by law for any violation of these Terms of Use, including any violation of rights in their names and logos and as well as their rights in connection with the Content on the Site. 

We may withdraw or amend this Site, and any service or Content we provide on the Site, at any time as we see fit. We will not be liable if for any reason all or any part of the Site is unavailable at any time or for any period. From time to time, we may restrict access to some parts of the Site, or the entire Site, to Users. Further we reserve the right at any time to change or discontinue any aspect or feature of the Site, including but not limited to these Terms of Use, hours of availability and equipment needed for use. 

Intellectual Property Rights 

The Site and all Content, features and functionality (including but not limited to all information, software, text, displays, images, video and audio, and the design, selection and arrangement thereof), are owned by IFC, UNHCR and External Sources and their respective affiliates, business partners, service providers, licensors or other providers and are protected by law, including international copyright, trademark, patent, trade secret or other intellectual property or proprietary rights laws. 

The names International Finance Corporation” and “IFC” and all related names, logos, product and service names, designs and slogans are trademarks of IFC or its affiliates; and the names “United Nations High Commissioner for Refugees,” and “UNHCR”, its emblem and official seal, all related logos, product and service names, designs and slogans are the property of UNHCR. You must not use such marks without IFC’s or UNHCR’s prior written permission. All other names, logos, product and service names, designs and slogans on this Site are the trademarks of their respective owners. 

Prohibited Uses 

You may use the Site only for lawful purposes and in accordance with these Terms of Use. You agree not to: 

  • Use the Site in any manner that could disable, overburden, damage, or impair the Site or interfere with any other party's use of the Site. 
  • Use any robot, spider or other automatic device, process or means to access the Site for any purpose, including monitoring or copying any of the Content. 
  • Use any manual process to monitor or copy any of the material on the Site or for any other unauthorized purpose without our prior written consent. 
  • Use any device, software or routine that interferes with the proper working of the Site. · Introduce any viruses, trojan horses, worms, logic bombs or other material which is malicious or technologically harmful. 
  • Attempt to gain unauthorized access to, interfere with, damage or disrupt any parts of the Site, the server on which the Site is stored, or any server, computer or database connected to the Site.
  • Attack the Site via a denial-of-service attack or a distributed denial-of-service attack. 
  • Otherwise attempt to interfere with the proper working of the Site. 
  • Modify copies of any materials from this Site. 
  • Delete or alter any copyright, trademark or other proprietary rights notices from copies of materials from the Site. 
  • Use automated systems or software to extract data from the Site for commercial purposes (‘screen scraping’). 

Disclaimers 

The Joint Initiative periodically adds, changes, improves or updates the Content on the Site without notice, but the Content on the Site is not necessarily complete or up to date. Any of the Content on the Site may be out of date at any given time, and we are under no obligation to update such Content. Under no circumstances shall the Joint Initiative or IFC or UNHCR be liable for any loss, damage, liability or expense incurred or suffered that is claimed to have resulted from the use of the Site, including, without limitation, any fault, error, omission, interruption or delay with respect thereto. The use of the Site is at the User’s sole risk. Under no circumstances, including but not limited to negligence, shall the Joint Initiative, IFC or UNHCR be liable for any direct, indirect, incidental, special or consequential damages, even if they have been advised of the possibility of such damages. Preservation of Immunities 

Nothing herein shall constitute or be considered to be a limitation upon or a waiver of the privileges and immunities of (i) the United Nations, including UNHCR and other UN-system organizations, intergovernmental organizations or their member States participating in this initiative, or (ii) IFC and any other member of the World Bank Group under their Articles of Agreement, or under international convention or any applicable law, and all such privileges and immunities are specifically reserved. 

Settlement of Disputes 

Any dispute between IFC, UNHCR and you arising out of, or in connection with, the Site or your use of the Site which cannot be amicably settled between the parties to such dispute shall be settled by an agreed mode of dispute resolution, including—but not limited to—arbitration, in accordance with the UNCITRAL Arbitration Rules then in effect by one arbitrator. The arbitral tribunal shall have no authority to award punitive damages. The parties shall be bound by any arbitration award rendered as a result of such arbitration as the final adjudication of any such controversy, claim or dispute. 

General 

UNHCR, in its capacity as party of the Joint Initiative, and as host of the Site. reserves its exclusive right in its sole discretion to alter, limit or discontinue the Site or any Content in any respect. UNHCR, in its capacity as party of the Joint Initiative, shall have no obligation to take the needs of any User into consideration in connection therewith. UNHCR, in its capacity as party of the Joint Initiative, reserves the right to deny in its sole discretion any User access to the Site or any portion thereof without notice. No waiver by the UNHCR, in its capacity as member of the Joint Initiative, of any provision of these Terms of Use shall be binding except as set forth in writing and signed by its duly authorized representative. 

Entire Agreement 

The Terms of Use and, our Privacy Policy and our Copyright Statement constitute the sole and entire agreement between you, UNHCR and International Finance Corporation with respect to the Site and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to the Site.
